These Terms of Service ("Terms") govern your use of services provided by AyeZee Web Designs ("we," "us," or "our"). By engaging our services, you ("Client" or "you") agree to these Terms.
We provide web design, development, hosting, maintenance, and dashboard access services for small businesses, local brands, and nonprofits. Services include:
Custom website design and development using Astro, Next.js, and related technologies
Hosting and deployment via Vercel, Cloudflare Pages, and other platforms
Ongoing maintenance, updates, and support
Access to our proprietary multi-tenant content management dashboard
Project Timeline: Typical projects are delivered within 4–6 weeks, depending on scope and client responsiveness. Timelines are estimates, not guarantees.
Setup Fee: Due upfront before work begins (typically $1,000+, based on project scope)
Monthly Maintenance: Billed monthly (typically $50+/month) for hosting, updates, dashboard access, and support
Payment Methods: Processed via Stripe or other third-party processors
Auto-Renewal: Monthly services auto-renew unless you provide 30 days' notice of cancellation
Failed Payments: If payment fails, you have a 7-day grace period. After that, services (including site access) may be suspended until payment is received.
You agree to:
Provide timely content, images, branding materials, and feedback necessary to complete the project
Maintain an active payment method on file for recurring billing
Ensure all content you provide is legally owned by you or properly licensed
Comply with all applicable laws and third-party terms of service
You are responsible for: Domain registration and DNS management unless explicitly handled by us under a separate agreement.
All content, branding, logos, and copy you provide
The design concept and visual presentation of your site
The underlying codebase, dashboard system, infrastructure, and proprietary tools
Reusable components, templates, and systems used across projects
As long as you maintain active monthly service, you are granted a non-exclusive, non-transferable license to use your website and access our dashboard. This license terminates if services are cancelled or payment lapses.
We may reuse, adapt, or restyle components and code across client projects
We may showcase your website in our portfolio, case studies, and marketing materials unless you request otherwise in writing
If you wish to take full ownership of the codebase or remove your site from our portfolio, contact us to discuss a custom buyout or licensing agreement.
No Refunds: Setup fees are non-refundable once work has begun
Cancellation Policy: You may cancel monthly services with 30 days' written notice before the next billing cycle
Effect of Cancellation: Upon cancellation, your site will remain live for the remainder of the paid billing period, then go offline unless alternative hosting arrangements are made
If payment fails, you have a 7-day grace period
After 7 days, your site may be taken offline until payment resumes
We will make reasonable efforts to contact you during this period
Backups are retained for up to 1 year after service termination
After 1 year, all data is securely deleted unless you request an export
You may request a data export at any time by contacting us
We reserve the right to terminate services immediately if you:
Violate these Terms
Use our services for illegal, harmful, or abusive purposes
Fail to pay after repeated attempts to collect
Our services rely on third-party platforms, including:
Vercel, Cloudflare Pages — hosting and deployment
Neon, Supabase — database hosting
Stripe — payment processing
Cloudinary — media storage and optimization
We are not responsible for:
Outages, downtime, or performance issues caused by these third-party providers
Changes to third-party pricing, terms, or availability
Data loss or breaches caused by third-party service failures
You acknowledge that use of these services is subject to their respective terms and conditions.
We will use reasonable efforts to deliver quality work, maintain uptime, and provide timely support.
Our services are provided "as is" and "as available." We disclaim all warranties, express or implied, including:
Warranties of merchantability or fitness for a particular purpose
Guarantees of uninterrupted, error-free, or secure service
Warranties regarding third-party integrations or platforms
To the maximum extent permitted by law:
Our total liability to you for any claim arising from our services is limited to the total amount you have paid us in the 12 months preceding the claim
We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption
We are not liable for issues caused by third-party services, force majeure events, or factors outside our reasonable control
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including legal fees) arising from:
Your use of our services
Content you provide or publish
Your violation of these Terms or applicable laws
Any third-party claims related to your website or business
We may update these Terms from time to time. The "Last Updated" date at the top will reflect any changes. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
We will make reasonable efforts to notify you of significant changes via email or dashboard notification.
These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.
Any disputes arising from these Terms or our services will be resolved in the courts of Pinal County, Arizona.
